Introduction

We don't believe in complicated legalese designed to confuse you into not understanding what you're agreeing to. Where possible, we've translated our terms into something more human-readable.

In these Terms of Service, any reference to "Keyify", "we", "our" or "us" explicitly relates to Keyify, and any mentioned affiliates involved in the relevant processing activity.

By subscring to the Keyify platform, you confirm your acceptance of these terms.

Platform access

By signing up for the Keyify service as a subscriber, you confirm that you are at least 18 years of age.

By signing up for the platform on behalf of an organisation, you confirm that you are authorized to act on behalf of the business and that you have the necessary permissions to do so. By signing up, you bind your organisation to these terms.

Whilst you are in compliance with these terms, Keyify grants you and any authorized users that you declare; a personal, non-exclusive, royalty-free, worldwide, non-transferrable, revocable license to use our platform; according to these terms. Any other use is explicitly prohibited without written consent from Keyify.

Whilst utilizing the Keyify platform, you attest to the following:

• That neither you nor your authorized users will perform any action that would constitute a breach of any laws (including but not limited to: criminal activity).
• Attempt to tamper with or modify the Keyify platform.
• Utilize the platform in a manner that is deemed to be harassing, defamatory, menacing or offensize; including utilizing any communication method to send spam or unsolicited messages.
• Aiding or facilitating a third-party to do any of the above.

You confirm that you will be solely responsible for ensuring that your usage of Keyify is compliant with any applicable laws and regulations.

Account and security

In order to use the platform, you must register for an account and provide any relevant information dependent on the type of account being created (platform or identity).

You confirm that you are responsible for the security of your account. In addition, you are also liable for any activity that takes place on your account.

Communication

You are required to provide a valid email address to utilize the Keyify platform. You must ensure that any email address provided is valid and kept up to date.

If you become uncontactable via your provided email address, we reserve the right to terminate or suspend your access to the platform. This action will not be taken lightly, and we will make every effort to restore communication with you prior to considering this.

Data ownership

You remain the owner of any data provided to the platform either by yourself or your authorized users.

You grant us a limited license to utilize this data; including copying, storing, transmitting, backing up, and otherwise making it available to us. This is in order to:

• Provide access to the platform to you and your authorized users.
• Communicate with you as required.
• Communicate with your authorized users (e.g. forgotten passwword emails).
• Identify potential problems with the Keyify platform.
• Utilise analytics tracking on the platform to improve Keyify.
• As otherwise reasonably required to perform any obligations as per the terms outlined in this document.

In utilizing the Keyify platform, you attest that you are solely responsible for the data that you and your authorized users store on our platform. In doing so, you attest that you are either the exclusive owner of the relevant data; or have the necessary rights to grant us the relevant rights outlined in this document.

Suspension

We as an organization reserve the right to terminate or suspend your access to Keyify, without notice, if we determine any of the following to be true:

• You have breached our Terms of Service.
• You or your organization are subject to economic sanctions, restrictions or penalties.
• You utilize Keyify in a way that is harmful or damaging to our organization.

Liability

Keyify relies on third-party services to operate (e.g. Microsoft Azure, Amazon AWS). To any extent permitted under relevant law, Keyify shall hold no liability for any loss or corruption of data; or any maintenance (scheduled or emergency) that causes the Keyify Identity Platform to become unavailable.

• In addition, by subscribing to Keyify; you agree to indemnify us to the maximum extent permitted by legislation from any liability that may be incurred due to your breach of these terms or any relevant law.
• Neither Keyify nor the subscribing party will be liable for consequential loss.
• Both Keyify and the subscriber will have liability reduced proportionately in relation to any relevant liability that was caused / contributed by any act or omission by the other party.
• The total aggregate liability relating to these terms will be capped to Keyify either reprovisioning your access (if terminated), or at our discretion, repaying any fees paid to Keyify during your subscription term.

Termination

• We may terminate your subscription at any time by giving 14 days written notice to you.
• You may request to cancel your subscription at any time; either via the dashboard, or via contacting us directly. Your cancellation will take effect at the end of the current billing period, and after this final bill - no further charges will be applied against your account. You are able to terminate effective immediately without further cost for the remainder of the billing period, if we significantly change the feature set of your subscription tier in a way that has a substantial adverse impact upon your operation.
• We may terminate your subscription if 14 days passes after a bill becomes due; and remains non-paid.
• If your account is terminated for convenience (written notice); we will refund any prepurchased units pro-rata.
• Termiating your subscription will not impact any rights, liabilities or similar under these terms.

Changes

We may occasionally update these terms. In the event of such an occurrence, you will be notified via email prior to this happening.
